また、ETFの取引開始に当たっては、目論見書と位置づけられる「S-1」という書類の最終版についてもSECの承認が必要となる。SECは申請企業に対し、S-1の「軽微」な変更を要請したとされ、ワシントン時間1月8日までに最終盤を提出するよう期限を設定した模様である。SECによる「19b-4」と「S-1」が承認されてはじめて、取引所での取引が可能となる。
SECの方針に変化
これまで、暗号通貨ビットコインの先物に連動したETFは取引が認められてきた。ビットコイン現物に連動するETFが認められることになれば、SECの態度が大きく変化したことになる。
昨年6月に、ブラックロックなど3社がビットコイン現物投資型ETF上場を申請した時点では、SECはビットコインであっても、現物市場における詐欺や価格操作などのリスクを挙げて、ETFを繰り返し拒否してきた。
流れを変えたのは、現物型ビットコインETFを非承認としたSECの2022年6月の決定を不服としたグレースケール・インベストメンツの提訴である。2023年8月に、ワシントンの連邦高裁は、ビットコイン現物を裏付けとするETFの申請を退けたSECの決定を覆した。
現物型ビットコインETFの設定が認められれば、多額の小口資金が流入すると期待されている。また、同ETFが世界最大の資金運用会社であるブラックロックやデジタル資産運用会社であるグレースケールによって運用管理されることで、信頼性を高めることにつながるとの期待も大きい。また、一部では、このETFの指定参加舎(AP)にJPモルガンやゴールドマン・サックスが入ることも期待されているようである。
代替資産として注目
ビットコインは2021年11月に記録した最高値（約６万9000ドル）を大きく下回って推移しているが、2023年は40,000ドルを回復、先週には約２年ぶりに45,000ドルにのせている。今年2024年は「半減期（halving）」と呼ばれるイベントにより、供給量の伸びが抑制されることも材料視されており、需給関係もビットコインの支援材料になるとの観測もあり、代替資産として注目を集める年になりそうである。
